1. Agreement to Terms

By accessing or using Flo.Studio ("the Platform"), operated by OSAIX LLC ("we," "us," "our"), you agree to be bound by these Terms of Service ("Terms"), our End User License Agreement, and our Privacy Policy (collectively, the "Legal Agreements"). If you do not agree to all Legal Agreements, do not use the Platform.

If you are accepting these Terms on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity. In such case, "you" and "your" refer to that entity.

2. Description of Service

Flo.Studio is a process intelligence platform that enables consultants and organizations to map, analyze, and transform business processes. The Platform provides:

  • Process flow mapping and visualization
  • AI-powered sub-process generation and analysis (Pro+AI and Team tiers)
  • Discovery workshop documentation tools
  • Export and report generation (PPTX, CSV, Excel, Visio)
  • Real-time collaboration features
  • Task assignment with due dates and RACI matrices
  • Compliance tagging and Gantt timeline views
  • Client engagement management

3. User Accounts

You must register for an account to use the Platform. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must provide accurate and complete information during registration and keep it current.

You may not:

  • Create more than one Free account per individual
  • Share account credentials with unauthorized third parties
  • Create accounts using false or misleading information
  • Create accounts on behalf of others without their authorization

OSAIX reserves the right to suspend or terminate accounts that violate these provisions.

4. Subscription Plans & Billing

Subscription Tiers

The Platform offers the following subscription tiers:

  • Free ($0/month) — Limited access to basic features
  • Pro ($49/month) — Full access to process flows, exports, and workshop tools
  • Pro+AI ($99/month) — Includes AI-powered analysis, sub-process generation, and custom reports
  • Team ($149/seat/month) — Multi-user collaboration, task assignment, and enterprise features

Billing Cycle

Paid subscriptions are billed in advance on a recurring monthly or annual basis. All payments are processed through Stripe. By subscribing, you authorize OSAIX to charge your designated payment method for all applicable fees on a recurring basis.

Auto-Renewal

Subscriptions renew automatically at the end of each billing period at the then-current rate unless cancelled before the renewal date. You will receive a reminder email at least seven (7) days before renewal.

Failed Payments & Grace Period

If a payment fails, we will retry the charge up to three (3) times over seven (7) days. During this grace period, your account remains active. If payment is not resolved after the grace period, your account will be downgraded to the Free tier. You will not lose Your Content, but access to paid features will be restricted until payment is resolved.

Downgrades

You may downgrade your subscription at any time. Downgrades take effect at the end of the current billing period. When downgrading, features not included in your new tier will become inaccessible, but Your Content will be preserved. If Your Content exceeds the limits of the lower tier, it will remain accessible in read-only mode.

Price Changes

OSAIX may adjust subscription pricing upon thirty (30) days' prior notice via email or in-app notification. Price changes apply at the next billing cycle. Continued use after a price change constitutes acceptance.

Refunds

Monthly subscriptions: No refunds for partial months. Annual subscriptions: Prorated refunds for unused full months may be issued at OSAIX's discretion if requested within 30 days of the annual term start or upon a material change to these Terms.

5. Your Content & Data

You retain ownership of all content you create on the Platform, including process flows, discovery notes, feedback, RACI assignments, task data, and reports ("Your Content"). By using the Platform, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, display, and process Your Content solely to provide the service.

We do not sell, share, or use Your Content for training AI models. AI features process Your Content only to generate the specific outputs you request (analysis, reports, sub-processes), and this data is not retained by the AI provider beyond the request. 6. Data Security

We implement industry-standard security measures including:

  • Encryption in transit (TLS 1.3)
  • Encryption at rest (AES-256) for stored data
  • Row-Level Security (RLS) ensuring users can only access their own organization's data
  • Multi-factor authentication for administrative access
  • Regular security audits and vulnerability assessments

7. Acceptable Use Policy

You agree not to:

  • Use the Platform for any unlawful purpose or in violation of any applicable laws or regulations
  • Attempt to access other users' data, accounts, or organization workspaces
  • Reverse engineer, decompile, or disassemble the Platform or any portion thereof
  • Use automated tools (bots, scrapers, crawlers) to extract data from the Platform
  • Upload malicious content, malware, or attempt to compromise the Platform's security
  • Exceed reasonable API rate limits or engage in API abuse (including programmatic access not authorized by your subscription tier)
  • Attempt to circumvent multi-tenancy boundaries, access controls, or data isolation mechanisms
  • Use the Platform for cryptocurrency mining, denial-of-service attacks, or spam
  • Resell, redistribute, or provide Platform access to unauthorized third parties
  • Upload content that is defamatory, obscene, fraudulent, or that infringes third-party rights
  • Impersonate another person or entity, or misrepresent your affiliation with any person or entity
  • Interfere with or disrupt the integrity or performance of the Platform or its infrastructure

OSAIX reserves the right to investigate and take appropriate action against violations, including account suspension or termination, content removal, and reporting to law enforcement where appropriate.

8. Content Moderation

While OSAIX does not routinely monitor User Content, we reserve the right to review and remove content that:

  • Violates the Acceptable Use Policy
  • Infringes third-party intellectual property rights
  • Contains illegal material or promotes illegal activities
  • Poses a security risk to the Platform or other users
  • Is the subject of a valid legal complaint or court order

We will make reasonable efforts to notify affected users before removing content, except where doing so would be impractical, would pose a risk to safety, or is prohibited by law.

9. AI Features Disclaimer

AI-generated content (sub-processes, analyses, compliance tags, RACI suggestions, reports) is provided as a starting point and should be reviewed by qualified professionals. We do not guarantee the accuracy, completeness, or suitability of AI-generated outputs for any specific purpose.

AI features are powered by third-party models (Anthropic Claude) subject to their own terms and conditions. OSAIX is not responsible for changes to, interruptions in, or discontinuation of third-party AI services. For complete terms governing AI Outputs, see the EULA Section 4.

10. Beta & Preview Features

OSAIX may offer beta, preview, or experimental features ("Beta Features") for testing and evaluation. Beta Features are:

  • Provided "as-is" without warranty of any kind
  • Not covered by any service level commitment
  • Subject to change or discontinuation at any time without notice
  • Not recommended for production or mission-critical use

By using Beta Features, you acknowledge the additional risks and agree that OSAIX has no liability for any harm or loss resulting from your use of Beta Features. OSAIX may collect additional usage data related to Beta Features for improvement purposes.

11. Third-Party Services

The Platform relies on the following third-party services:

OSAIX is not responsible for the availability, performance, or policies of third-party services. Interruptions or failures in third-party services are not a breach of this Agreement. Each third-party service is governed by its own terms and privacy policies. We encourage you to review the terms of these services.

12. Government & Regulated Industry Disclaimer

The Platform is a general-purpose process intelligence tool. It is not designed, intended, or certified for use as a substitute for:

  • Professional compliance advice (SOX, HIPAA, GDPR, FDA, etc.)
  • Legal counsel or regulatory filings
  • Audit-grade documentation or controls testing
  • Government procurement or classified information handling

Users in regulated industries are solely responsible for ensuring their use of the Platform complies with all applicable laws, regulations, and industry standards. AI-generated compliance tags, risk scores, and recommendations are informational only and do not constitute professional advice.

13. DMCA & Copyright Takedown

OSAIX respects the intellectual property rights of others and expects users to do the same. If you believe that content on the Platform infringes your copyright, you may submit a takedown notice to our designated agent with the following information:

  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing and its location on the Platform
  • Your contact information (name, address, telephone, email)
  • A statement that you have a good faith belief that use of the material is not authorized by the copyright owner, its agent, or the law
  • A statement, made under penalty of perjury, that the information in the notice is accurate and that you are the copyright owner or authorized to act on behalf of the owner
  • Your physical or electronic signature

Send DMCA notices to: support@flostudio.ai with the subject line "DMCA Takedown Notice."

Upon receipt of a valid notice, OSAIX will remove or disable access to the allegedly infringing material and notify the affected user. Users may submit a counter-notice if they believe the removal was made in error.

14. Limitation of Liability

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OSAIX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE PLATFORM.

OSAIX'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

15. Dispute Resolution & Arbitration

Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of laws principles.

Binding Arbitration

Any dispute arising out of or relating to these Terms shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Wilmington, Delaware. Judgment on the award may be entered in any court of competent jurisdiction.

Class Action Waiver

YOU AND OSAIX AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE CLAIMS OF MORE THAN ONE PERSON AND MAY NOT PRESIDE OVER ANY FORM OF REPRESENTATIVE OR CLASS PROCEEDING.

Exceptions

Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property rights or confidential information. Small claims court actions are also exempt from mandatory arbitration.

16. Termination

Either party may terminate the agreement at any time. Upon termination, you may export Your Content within 30 days. After 30 days, we may delete Your Content from our systems. For complete termination terms, see the EULA Section 13.

17. Changes to Terms

We may update these Terms at any time. We will notify you of material changes via email or in-app notification at least thirty (30) days before such changes take effect. Continued use of the Platform after the effective date of any changes constitutes acceptance. If you do not agree to the revised Terms, you must discontinue use of the Platform before the changes take effect.

18. Severability

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.

19. Entire Agreement

These Terms, together with the EULA and Privacy Policy, constitute the entire agreement between you and OSAIX regarding the Platform. They supersede all prior agreements, understandings, and communications, whether written or oral.
